These Terms and Conditions (“Terms”) govern your access to and use of the services, platform, website, mobile application, and all related tools and features (collectively, the “Services”) operated by Antlia Health Inc. (“Antlia”, “we”, “us”, or “our”), a corporation incorporated under the laws of Canada. By accessing or using our Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy. If you do not agree to these Terms in their entirety, you must not access or use the Services. These Terms apply to all visitors, registered users, and any other persons who access or use the Services. In these Terms, “you” and “your” refer to the individual accessing or using the Services.

1. OVERVIEW OF SERVICES

Antlia operates an online telehealth platform that enables eligible individuals in Canada to submit a secure health assessment, which is reviewed by a licensed healthcare practitioner (a “Prescriber”). Where clinically appropriate, the Prescriber may issue a prescription for approved weight management medication, which may be transmitted to a pharmacy of the member’s choosing or to a pharmacy partner.

Our Services may include the following:

 

  • Provision of a secure, confidential online health assessment tool for weight management.
  • Connection of members with licensed Prescribers (physicians or nurse practitioners) registered in applicable Canadian provinces.
  • Administrative coordination of prescription issuance and transmission to licensed Canadian pharmacies.
  • Secure storage and management of health records and assessment responses;
  • Follow-up support and ongoing care coordination as applicable.
  • Educational content and informational resources related to weight management and prescription medications.

 

Availability of our Services may vary by province or territory. We will inform you if a particular Service is not available in your location. Antlia’s Services are intended exclusively for individuals located in Canada.

2. ELIGIBILITY

To access and use the Services, you must meet all of the following eligibility requirements:

 

  • You are 18 years of age or older.
  • You are currently located in a Canadian province or territory where Antlia operates.
  • You are a Canadian resident or are legally present in Canada.
  • You agree to be legally bound by these Terms and our Privacy Policy.
  • You have the legal capacity to enter into a binding agreement.
  • You are using the Services solely for your own personal, non-commercial health purposes.

 

Meeting the above eligibility criteria does not guarantee that you will receive a prescription or any specific health outcome. Eligibility for a prescription is determined solely by the licensed Prescriber based on the clinical review of your assessment.

Antlia reserves the right to modify eligibility requirements at its sole discretion and without prior notice. Any such changes will be posted on the platform and will apply immediately upon posting.

3. THE TELEHEALTH ASSESSMENT PROCESS

3.1 Submitting Your Assessment

To initiate the telehealth process, you will be required to complete and submit an online health assessment (the “Assessment”). The Assessment is a structured questionnaire that collects information about your health history, current medications, relevant medical conditions, and weight loss goals.

You agree and represent that all information you provide in the Assessment is:

 

  • True, accurate, complete, and current to the best of your knowledge.
  • Not misleading or designed to obtain a prescription you may not be clinically eligible for.
  • Your own personal health information and not that of another individual.

 

Submitting false, incomplete, or misleading information may pose a serious risk to your health and may constitute a violation of applicable law. Antlia and the Prescriber bear no responsibility for adverse outcomes arising from inaccurate information provided by you.

 

3.2 Prescriber Review

If a prescription is issued, your name, prescription details, and relevant health information will be transmitted to your selected licensed Canadian pharmacy or our pharmacy partner for dispensing. By selecting a pharmacy through our platform, you consent to this disclosure.

The Prescriber may, in their sole clinical discretion:

 

  • Issue a prescription for a Health Canada–approved weight management medication; Request additional information, documentation, or clarification before making a determination.
  • Recommend alternative treatment options or decline to issue a prescription
  • Refer you to an in-person healthcare provider where clinically appropriate.

 

All clinical decisions are made solely by the Prescriber. Antlia does not influence, direct, or override the clinical judgment of any Prescriber.

 

3.3 Prescription Issuance

If the Prescriber determines that a prescription is clinically appropriate, the prescription will be transmitted electronically to the licensed pharmacy you have selected, or to Antlia’s pharmacy partner, where applicable. Prescriptions are valid for use by the named individual only and may not be transferred, shared, or used by any other person.

Antlia facilitates the transmission of prescriptions but is not a pharmacy and does not dispense medications. All dispensing activities are conducted by licensed Canadian pharmacists operating independently of Antlia.

4. PRESCRIBER AND PHARMACY SERVICES

4.1 Independence of Prescribers

All Prescribers who review assessments through the Antlia platform are independent licensed healthcare professionals — physicians or nurse practitioners — registered with and in good standing with their applicable provincial regulatory college. They are not employees of Antlia. Antlia provides a technology platform through which Prescribers may communicate with and provide healthcare services to patients. The Prescriber, and not Antlia, is solely responsible for all clinical decisions, diagnoses, and treatment recommendations.

 

4.2 Pharmacy Services

Antlia may partner with licensed Canadian pharmacies to fulfill prescriptions issued through the platform. You may also choose to have your prescription filled at any licensed pharmacy of your choice. By selecting a pharmacy partner, you consent to Antlia transmitting your personal health information and prescription details to that pharmacy for the purpose of medication dispensing.

All pharmacy services are governed by the applicable provincial pharmacy regulations. Antlia is not responsible for the quality, accuracy, or safety of services provided by any pharmacy partner. Disputes regarding dispensed medications must be directed to the pharmacy or the relevant provincial pharmacy regulatory body.

 

4.3 Approved Medications Only

Antlia’s platform only facilitates prescriptions for medications that are approved by Health Canada for chronic weight management or that are authorized for lawful use in Canada. Antlia does not facilitate prescriptions for compounded medications, unapproved substances, or medications from unregulated sources.

5. ACCOUNT REGISTRATION AND SECURITY

To access certain features of the Services, you must create a member account. When registering, you agree to provide accurate, complete, and up-to-date information. You are responsible for maintaining the confidentiality of your login credentials.

You agree that you will:

 

  • Provide accurate and truthful information during registration.
  • Keep your password and account credentials strictly confidential.
  • Not share your account with any other person.
  • Not create more than one account per individual.
  • Notify Antlia immediately of any unauthorized access to or use of your account at support@antlia.ca.

 

Antlia reserves the right to suspend or terminate your account if we have reasonable grounds to believe that account information is inaccurate or that these Terms have been violated. Antlia is not liable for any loss resulting from your failure to maintain the security of your account credentials.

6. OWNERSHIP, INTELLECTUAL PROPERTY, AND LICENSE

6.1 Antlia’s Intellectual Property

All content, features, and functionality of the Services — including but not limited to the website design, text, graphics, logos, software, code, assessment tools, trademarks, and service marks (collectively, “Antlia Content”) — are the exclusive property of Antlia Health Inc. or its licensors and are protected by applicable Canadian and international intellectual property laws.

You may not reproduce, copy, distribute, sell, license, modify, reverse engineer, create derivative works of, publicly display, or otherwise exploit any Antlia Content without the prior written consent of Antlia.

 

6.2 License to You

Subject to your compliance with these Terms, Antlia grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Services solely for your personal, non-commercial health purposes. This license does not transfer any ownership rights to you.

7. USER CONTENT AND DATA

When you submit information through the Services — including your Assessment responses, health history, and any other personal information — you grant Antlia a limited, non-exclusive license to use that information solely for the purposes of providing the Services to you, including transmitting your information to the Prescriber and pharmacy, maintaining your health records, and improving the platform’s functionality.

Antlia will handle all personal health information in accordance with applicable Canadian privacy legislation, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial health privacy laws. Please refer to our Privacy Policy for full details on how your information is collected, used, stored, and disclosed.

8. PRIVACY AND HEALTH INFORMATION

Antlia takes the privacy and security of your personal health information seriously. Your health information is collected, used, and protected in accordance with our Privacy Policy, which is incorporated into these Terms by reference.

Key privacy commitments include:

 

  • Your health information is encrypted in transit and at rest.
  • Your information will not be sold to third parties.
  • Information is shared only with your Prescriber, pharmacy, and other parties strictly necessary to provide the Services.
  • You may request access to, correction of, or deletion of your personal information, subject to applicable legal requirements.

9. RESTRICTIONS ON USE

When accessing or using the Services, you agree that you will NOT:

 

  • Provide false, inaccurate, or misleading information in your Assessment or account registration.
  • Attempt to access a prescription for any person other than yourself.
  • Share, transfer, or sell your prescription or account to any other person.
  • Use the Services for any unlawful, fraudulent, or unauthorized purpose.
  • Attempt to reverse engineer, decompile, or extract the source code of any part of the Services.
  • Interfere with or disrupt the security, integrity, or performance of the Services.
  • Use automated tools, bots, or scrapers to access or collect information from the Services.
  • Upload or transmit malicious code, viruses, or other harmful software;
  • Impersonate any person or entity.
  • Violate any applicable local, provincial, federal, or international law or regulation.
  • Attempt to gain unauthorized access to any part of the Services or associated systems.
  • Use the Services in any way that could harm, defame, or harass Antlia’s staff, Prescribers, or other users.

10. MEDICAL DISCLAIMER

The health information and educational resources made available through the Services are for general informational purposes only. They do not constitute medical advice and should not be relied upon as such. You should always consult a qualified healthcare professional for any questions you may have regarding your health or medical conditions.

Antlia does not guarantee any specific health outcome, weight loss result, or clinical response to any medication. Individual results will vary based on each person’s unique health profile, adherence to treatment, lifestyle factors, and the independent clinical judgment of the Prescriber.

If you experience any adverse reaction, side effect, or emergency arising from the use of a prescribed medication, you should immediately contact your Prescriber, proceed to the nearest emergency department, or call 911.

11. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE CANADIAN LAW, ANTLIA HEALTH INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND PRESCRIBERS (COLLECTIVELY, “ANTLIA PARTIES”) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, PERSONAL INJURY, OR BODILY HARM — ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES.

IN NO EVENT SHALL ANTLIA’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (I) ONE HUNDRED CANADIAN DOLLARS (CAD $100), OR (II) THE TOTAL AMOUNT PAID BY YOU TO ANTLIA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

The limitations above apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if Antlia has been advised of the possibility of such damages.

Note: Certain jurisdictions, including the Province of Quebec, may not permit certain exclusions or limitations of liability under consumer protection legislation. In such jurisdictions, the above limitations apply only to the fullest extent permitted by law.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Antlia Health Inc. and its officers, directors, employees, contractors, affiliates, Prescribers, and pharmacy partners from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

 

  • Your breach of these Terms or any applicable law or regulation.
  • Any false, inaccurate, or misleading information you provided in your Assessment or account registration.
  • Your unauthorized use of the Services.
  • Any claim by a third party arising from your use of the Services.
  • Your fraud, wilful misconduct, or gross negligence.

13. SUBSCRIPTION, FEES, AND PAYMENTS

Certain Services may be offered on a subscription or fee-for-service basis. All applicable fees will be clearly displayed to you before you complete any purchase. Prices are in Canadian dollars (CAD) and are inclusive of applicable taxes unless otherwise stated.

For subscription-based Services, the following applies:

  • Your subscription will automatically renew at the end of each billing period unless cancelled prior to the renewal date.
  • You authorize Antlia or its third-party payment processor to charge your designated payment method at the beginning of each billing period.
  • It is your responsibility to ensure your payment information is current and valid.
  • Antlia does not collect or store your full payment card details — all payments are processed by a PCI-compliant third-party payment processor.

 

Antlia reserves the right to modify pricing with advance notice to you. Continued use of the Services following a pricing change constitutes acceptance of the new pricing

14. CANCELLATION, REFUNDS, AND TERMINATION

 

14.1 Cancellation by You

You may cancel your account or subscription at any time through your account settings or by contacting us at support@antlia.ca. Cancellation will take effect at the end of the current billing period. You will retain access to the Services until the end of the period for which you have paid.

 

14.2 Refund Policy

Except as required by applicable law, all fees paid are non-refundable. Assessment fees are charged for the provision of the clinical review service, regardless of whether a prescription is ultimately issued, as the Prescriber’s time and expertise are engaged upon submission of your Assessment.

 

14.3 Termination by Antlia

Antlia reserves the right to suspend or terminate your access to the Services, with or without notice, if: (i) you violate these Terms; (ii) we are required to do so by applicable law; or (iii) we discontinue the Services in whole or in part. Upon termination, your right to access the Services will immediately cease. Sections of these Terms that by their nature should survive termination — including Medical Disclaimer, Limitation of Liability, Indemnification, and Dispute Resolution — will continue to apply.

15. COMMUNICATIONS — TEXT MESSAGE AND EMAIL CONSENT

By creating an account and using the Services, you consent to receiving electronic communications from Antlia, including emails and SMS text messages related to your account, assessment status, prescription updates, and Service notifications.

Communications may include:

 

  • Assessment submission confirmations and status updates.
  • Prescription issuance notifications.
  • Prescription refill reminders.
  • Follow-up care reminders and clinical communications from your Prescriber.
  • Account security notifications.
  • Service updates, policy changes, and platform announcements.
  • Marketing and promotional messages (where you have separately opted in).
  •  

    You may opt out of marketing communications at any time by clicking ‘unsubscribe’ in any marketing email or replying ‘STOP’ to any SMS marketing message. Opting out of marketing communications will not affect transactional communications related to your active prescriptions or account.

    You acknowledge that electronic transmission of information, including SMS and email, cannot be guaranteed to be completely secure. By consenting to electronic communications, you accept this inherent risk.

    16. THIRD-PARTY LINKS AND SERVICES

    The Services may contain links to third-party websites, services, or resources (“Third-Party Services”). These links are provided for your convenience only. Antlia does not endorse, control, or assume any responsibility for the content, privacy practices, or availability of any Third-Party Services.

    Your use of any Third-Party Services is at your sole risk and subject to the terms and policies of those third parties. Antlia is not liable for any loss or damage arising from your use of Third-Party Services.

    17. CHANGES TO THESE TERMS

    Antlia reserves the right to modify these Terms at any time. When we make material changes, we will update the ‘Last Updated’ date at the top of this document and, where required by law, provide you with reasonable prior notice by email or through the platform.

    Your continued use of the Services following the posting of updated Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must discontinue use of the Services.

    18. GOVERNING LAW AND DISPUTE RESOLUTION

    18.1 Governing Law

    These Terms shall be governed by and interpreted in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to principles of conflicts of laws.

     

    18.2 Informal Resolution

    Before initiating any formal dispute process, you agree to contact Antlia at support@antlia.ca to attempt to resolve the dispute informally. Antlia will use good faith efforts to resolve any dispute within 30 calendar days of receiving written notice.

     

    18.3 Binding Arbitration

    If a dispute cannot be resolved informally, it shall be submitted to binding arbitration administered by the ADR Institute of Canada, Inc. in accordance with its Arbitration Rules. The arbitration shall be conducted in Ontario, Canada, in the English language, before a single arbitrator. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

    YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

    19. GENERAL PROVISIONS

    19.1 Entire Agreement

    These Terms, together with the Privacy Policy and any other policies incorporated by reference herein, constitute the entire agreement between you and Antlia Health Inc. with respect to the Services and supersede all prior agreements, representations, and understandings.

     

    19.2 Severability

    If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

     

    19.3 No Waiver

    Antlia’s failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

    19.4 Assignment

    You may not assign or transfer your rights or obligations under these Terms without Antlia’s prior written consent. Antlia may assign these Terms and its rights hereunder without restriction in connection with a merger, acquisition, or sale of assets.

     

    19.5 Language

    These Terms are written in English. In the event of any conflict between the English version and any translated version, the English version shall prevail, except where prohibited by applicable law.

    For Quebec consumers: The parties have expressly requested that these Terms and all related documents be drafted in English. Les parties ont expressément demandé que les présentes modalités et tous les documents connexes soient rédigés en anglais.
